Rythora Distribution Terms of Service
Product: Rythora Distribution / Workstation Effective date: October 7, 2026 Contact: support@rythora.com
These Terms of Service (“Terms”) govern your access to and use of Rythora’s digital music distribution platform, including Workstation tools for releasing, delivering, reporting, and managing recordings (collectively, “Distribution”). By creating an account, completing onboarding, uploading content, or using Distribution, you agree to these Terms.
Rythora is a music technology platform operated by Invero Inc. References to “Rythora,” “we,” “us,” or “our” in these Terms refer to Invero Inc. in its operation of the Rythora platform, unless otherwise stated.
These Distribution Terms govern your use of the music distribution services offered through Rythora, a platform operated by Invero Inc.
Distribution is distinct from Rythora Listen and Rythora Artist. Those products have separate terms.
1. Eligibility and accounts
You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract. You are responsible for your account credentials, for all activity under your account, and for keeping your profile, tax, and payout information accurate. We may require identity verification, tax documentation, and rights certifications before activation or payouts.
If you use Distribution on behalf of a label, company, or other artists, you represent that you have authority to bind them and to grant the rights described in these Terms and any Distribution Agreement you accept.
2. The service
Distribution provides tools to prepare metadata and audio, submit releases to digital service providers and other partners (“DSPs”), track delivery and catalog status, view reporting where available, and manage related account settings. Features, DSP coverage, timelines, and tooling may change. We do not guarantee acceptance, placement, playlisting, charting, or commercial performance on any DSP.
DSP rules, storefront policies, and territorial availability are controlled by those third parties. You must comply with applicable DSP requirements in addition to these Terms.
3. Content you submit
“Content” means audio, artwork, metadata, lyrics, credits, videos, motion visuals, and any other materials you upload or provide.
You retain ownership of your Content, subject to the licenses you grant here and in any Distribution Agreement, rights certification, or feature-specific terms (including AI disclosure and Silent Motion rights where applicable).
You grant Rythora a worldwide, non-exclusive, royalty-bearing or royalty-pass-through (as applicable to your plan and reporting), transferable and sublicensable license to host, reproduce, encode, distribute, publicly perform, communicate to the public, display, and otherwise exploit the Content as needed to operate Distribution and deliver to DSPs and partners you authorize. This license continues for as long as Content remains distributed through Rythora and for a commercially reasonable wind-down period after takedown or account closure.
4. Rights warranties
You represent and warrant that:
- you own or control all rights necessary to exploit the Content as contemplated by Distribution and DSP delivery;
- Content does not infringe copyright, trademark, publicity, privacy, or other rights;
- you have obtained all required licenses, samples clearances, featuring artist consents, and publisher/songwriter permissions;
- metadata, credits, and AI-generation disclosures are accurate and not misleading;
- Content does not contain unlawful, defamatory, or prohibited material under applicable law or DSP policies.
You are solely responsible for clearing rights and for any claims arising from Content. You agree to indemnify Rythora against claims, damages, and costs (including reasonable attorneys’ fees) arising from your Content, your breach of these Terms, or your infringement of third-party rights.
5. Royalties, fees, and payouts
Plan fees and billing terms for Workstation distribution are presented at purchase or in your account. Taxes may apply. Subscription and plan charges are typically processed by third-party payment providers such as Stripe.
For eligible music streams on Rythora-owned music services (Rythora Listen and qualifying music playback within Rythora Kids), Rythora does not retain a commission from master recording royalties: subject to the Distribution Agreement you accept, 100% of master recording royalties credited to the applicable release are credited to the applicable rights holder after taxes, refunds, chargebacks, processing, publishing/composition obligations, and other legally required third-party amounts. Kids video and other audiovisual monetization, and external DSP partner statements, are separate ledgers.
Tax and payout onboarding. Before receiving royalty payouts, you must complete required tax documentation and payout (beneficiary) setup through our payout partner, Airwallex, using the flows provided in Workstation (including Distribution setup for tax and Earnings for bank payout details). Airwallex’s terms and privacy practices apply to information you submit in those embedded flows. Rythora may store completion status and limited masked payout metadata; full bank account numbers are generally retained by the payout partner, not on Rythora systems.
Royalty reporting and payout timing depend on reporting cycles, thresholds, verification status, completed tax/payout onboarding, and fraud/compliance reviews. We may withhold, delay, offset, or reverse amounts subject to incomplete onboarding, chargebacks, takedowns, fraud, rights disputes, or legal process.
You are responsible for any amounts owed to featured artists, producers, publishers, or other collaborators. Rythora is not your collecting society or publisher unless expressly agreed in a separate writing.
6. Takedowns, QC, and enforcement
We may review, delay, reject, or remove Content for quality control, policy, legal, or DSP reasons. We may suspend delivery or terminate accounts for suspected fraud, infringement, abusive uploads, or material breach. You can request takedown of your releases subject to DSP processing times and these Terms.
If we receive a rights complaint, we may remove or restrict Content and share relevant account information with complainants or authorities as required by law.
7. AI-generated and synthetic content
If Content is AI-generated or includes synthetic performances, you must disclose that as required by our upload flows and applicable law. You remain responsible for all rights, likeness, and voice clearances. We may refuse or remove undisclosed or non-compliant AI Content.
8. Acceptable use
You may not use Distribution to: distribute malware or scraped catalogs you do not control; artificially inflate streams or engage in fraud; circumvent territorial or content restrictions; reverse engineer non-public systems; abuse APIs or automation; or harass staff or users.
9. Disclaimers
DISTRIBUTION IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, RYTHORA DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted service, error-free delivery, or any particular commercial outcome.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RYTHORA AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY ARISING OUT OF DISTRIBUTION WILL NOT EXCEED THE GREATER OF (A) FEES YOU PAID TO RYTHORA FOR DISTRIBUTION IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
11. Termination
You may stop using Distribution and request account closure subject to wind-down of live releases and outstanding balances. We may suspend or terminate access for breach, risk, inactivity, or legal reasons. Sections that by nature should survive (including licenses for already-delivered exploitation where required, warranties, indemnity, and limitations) will survive termination.
12. Changes
We may update these Terms. Material changes will be posted with a new effective date and may be communicated in-product or by email. Where we ask you to review and accept updated Terms in-product, you must accept before continuing to use Distribution. Otherwise, continued use after the effective date constitutes acceptance. Additional product-specific agreements (Distribution Agreement, rights certifications) may apply and control if they conflict on the same subject.
13. Privacy
Our handling of personal data is described in our Privacy Policy at rythora.com/privacy. Billing cancellations and refunds for digital purchases are described at rythora.com/refund-policy.
